Welcome to Vima Club.

Effective Date: January 1, 2025. These terms outline how we run the platform and how you can get the most from it. Please read them carefully before participating in any club activities or events hosted through Vima.

1. Acceptance of Terms

  • By accessing or using Vima Club (the "Platform"), whether as a club organizer ("Organizer"), member ("Member"), or participant ("Participant"), you agree to be bound by these Terms of Service ("TOS"). If you do not agree with these terms, please do not use the Platform.
  • By creating an account, joining a club, or otherwise using Vima Club, you agree to these Terms of Service and any policies referenced here, including our Privacy Policy.
  • If you are using the Platform on behalf of an organization, club, or minor, you represent that you have the authority to bind them to these TOS.

2. Eligibility & Accounts

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must provide accurate and complete information when creating an account and keep your account information updated.

3. Platform Description

  • Vima Club is a platform that facilitates club creation, management, event organization, and member participation. Organizers create clubs and events and set their own rules, pricing, and policies. Members join clubs and register for events through the Platform.
  • Vima Club is not responsible for the conduct, safety, or management of clubs or events. Organizers are independent and responsible for their clubs and events.

4. User Responsibilities

  • Organizers: You are responsible for ensuring your clubs and events comply with applicable laws, providing accurate information, managing memberships and registrations, and adhering to your stated policies. You agree to indemnify Vima Club against claims arising from your clubs or events.
  • Members/Participants: You agree to comply with club and event rules set by Organizers, provide accurate registration information, and acknowledge that Vima Club is not responsible for event outcomes or Organizer actions.
  • All users must use the Platform lawfully, refrain from unauthorized access, and not engage in activities that disrupt the Platform (e.g., hacking, spamming, fraud).

5. Membership, Registration & Payments

  • Participants must provide accurate information during registration and membership applications.
  • Some clubs or events may require dues or fees. Such transactions may be managed outside of Vima Club or through third-party payment providers integrated with the Platform. Payments are subject to the terms of any third-party payment providers.
  • Organizers set event fees, and Vima Club may charge platform fees where applicable. Vima Club is not responsible for payment disputes between Organizers and Members/Participants.
  • Refund policies are set by Organizers. Vima Club does not process refunds on behalf of clubs and is not responsible for issuing refunds or handling cancellations. Please contact the organizer directly for payment-related questions.

6. Content and Intellectual Property

  • User Content: Organizers and Members grant Vima Club a non-exclusive, worldwide, royalty-free license to use, display, and reproduce content (e.g., club descriptions, event information, images) provided to the Platform for operational and promotional purposes.
  • You retain rights to content you submit but grant us a non-exclusive license to host, display, and share it as needed to operate the service.
  • Vima Club Content: All platform content, branding, and technology are owned by Vima Club or our licensors. You may not copy, modify, or distribute Vima Club content without permission.
  • Do not post misleading, offensive, or harmful content. We may remove content or suspend accounts that violate these standards.

7. Disclaimers & Liability

  • No Warranty: Vima Club is provided "as is" without warranties of any kind. We make no warranties regarding uninterrupted access, availability, or fitness for a particular purpose. Vima Club does not guarantee the accuracy of club or event information or the safety of clubs or events.
  • Running and physical activities involve inherent risk. You participate in clubs and events at your own discretion. Vima Club is not responsible for injuries, losses, or damages arising from participation in clubs or events.
  • Limitation of Liability: To the fullest extent permitted by law, Vima Club, its affiliates, and their officers, directors, or employees are not liable for any damages, including incidental or consequential damages, arising from your use of the Platform or participation in clubs or events. Our liability is limited to the greater of $100 or the amount you paid to Vima Club in the prior 12 months.
  • Third-Party Actions: Vima Club is not responsible for the actions of Organizers, Members, Participants, or third parties, including club or event-related injuries, losses, or disputes.

8. Termination

  • You may deactivate your account at any time through your profile settings or by contacting support.
  • Vima Club may suspend or terminate your access to the Platform at its discretion, including for violations of these TOS, fraudulent activity, unlawful conduct, creating risk for other users, or misuse of the platform.

9. Indemnification

  • You agree to indemnify and hold harmless Vima Club, its affiliates, and their officers, directors, and employees from any claims, damages, losses, or costs (including reasonable attorney fees) arising from your use of the Platform, violation of these TOS, or your clubs or events (if you are an Organizer).

10. Governing Law & Dispute Resolution

  • These TOS are governed by the laws of the Philippines. Any disputes arising from these TOS will be resolved through binding arbitration in Manila, Philippines, except as otherwise required by law.
  • You waive the right to participate in class actions against Vima Club, except where such waiver is not permitted by applicable law.

11. Changes to These Terms

  • Vima Club may update these TOS at any time to reflect new features, legal requirements, or community feedback. Changes will be posted on the Platform with an updated effective date.
  • If changes are material, we will provide notice through the Platform or email. Your continued use of the Platform after changes are posted constitutes acceptance of the updated terms.
